Suiko

Terms of service and sale

Version of 16 October 2026. These terms apply to businesses subscribing to Suiko; the order form and the data processing agreement complete them.

This English translation is provided for convenience. The French version is the binding one and prevails in case of discrepancy.

1. Parties and purpose

Suiko is an online software for managing SEO content (brief, writing, content score, review, publication in the client’s CMS), with an optional service that updates existing articles. It is published and operated by Adrien Asselineau, sole trader, Rua das Taipas 13, 1250-264 Lisboa, Portugal, tax number PT305978500 (“Suiko” or “the Provider”). The “Client” is the legal entity that subscribes. Suiko is intended for businesses only.

These terms, the order form and, where applicable, the data processing agreement form the contract. In case of contradiction, the order form prevails over the terms.

2. Subscription and onboarding

Subscription is made by signed order form (or written agreement by email). There is no self-service sign-up: Suiko creates the Client’s organisation, its user accounts and the connection to its CMS, builds its knowledge base with it (dated, sourced facts against which texts are checked), inventories and ranks its pages by update priority, and trains the team. This onboarding is invoiced at the price on the order form; it is free with an annual commitment.

The Client provides what is needed for onboarding: access to its CMS (API token), its editorial guidelines if any, the list of its users. Suiko cannot publish without access to the CMS.

3. Accounts and users

Each user has a personal account, created by invitation. The Client appoints at least one administrator, who invites and removes the other users. The Client is responsible for the use of its organisation’s accounts and for the confidentiality of the sign-in codes received by email. One subscription covers one site, with no limit on the number of users. Accounts are personal and named, reserved for the people who work on the Client’s site, freelance writers included, and may not be shared or resold to third parties. Suiko may request that any use clearly outside this scope be regularised.

4. Operation of the service

Suiko is accessible through a web browser at app.getsuiko.com. Suiko undertakes to provide the service with professional care, without a quantified availability guarantee. Short interruptions may occur for maintenance; Suiko informs the Client when they are planned. Suiko backs up the database daily.

Suiko may evolve the service (adding, changing or removing features) without substantially reducing what was subscribed. Suiko may develop adaptations at the Client’s request (connector to another CMS, language); the schedule of such developments is set by mutual agreement.

5. Automatic updates

When a pack of pages is purchased, Suiko rereads the Client’s published articles, spots what is out of date and files update proposals in the service, with fact checking against the subscription’s knowledge base, built with the Client and maintained by the Client. Nothing is published without the approval of one of the Client’s users. The Client remains solely responsible for the content it approves and publishes.

The subscription’s onboarding includes a five-page pilot adjusted with the Client, with at most three rounds of adjustment. Updates are then bought as prepaid packs of pages (10, 30, 100 or 300 pages), valid for twelve months from purchase. A page is deducted from the pack when its update is published, however many versions; a rejected proposal or one sent back for correction is not deducted. Two new versions per page are included, within reasonable use; beyond that, Suiko may offer the Client an adjustment. Pages unused when the pack expires are lost; a pack is neither refundable nor transferable.

The Client chooses the pages to update in the service, among those Suiko suggests or by their address, within the pages available on its packs; Suiko may also trigger updates according to the priorities set with the Client.

6. Artificial intelligence and accuracy

The content score, the search result analyses and the update proposals rely on third-party data and on artificial intelligence models. They are decision support. Suiko guarantees neither a ranking in search engines, nor a volume of traffic, nor the absolute accuracy of a generated text: review and approval by the Client are part of the service.

7. Prices and payment

Prices are those on the order form, excluding VAT. Subscription: monthly without commitment, or annual paid upfront. Updates: as prepaid packs, paid at order, by card online or by bank transfer; the pages are available in the service on receipt of payment. Onboarding: invoiced at signature.

Invoices are payable by bank transfer within thirty days. In case of late payment, Suiko may suspend access after a formal notice left without effect for fifteen days.

Suiko is established in Portugal. For a Client liable to VAT in another member state of the European Union, services are invoiced without VAT, with the mention “VAT not applicable, reverse charge”; the Client provides an intra-community VAT number valid in the VIES database, which is a condition of this invoicing. Without a valid number, Portuguese VAT applies. For a Client established outside the European Union, services are invoiced without Portuguese VAT, and the Client handles any tax applicable in its own country.

Suiko may revise its prices for new clients at any time. For a Client under contract, any revision is notified at least two months before the renewal date and only applies at renewal. The order form may provide a price guaranteed for the duration of the relationship (“founder price”); in that case, no revision applies as long as the Client remains subscribed without interruption.

8. Term and termination

Monthly subscription: one-month term, tacitly renewed, cancellable by email for the end of the current month. Annual subscription: twelve-month term, tacitly renewed for twelve-month periods unless cancelled by email at least one month before the renewal date. Suiko reminds the Client of the renewal date by email two months before. Amounts paid upfront are not refunded.

Either party may terminate as of right in case of a serious breach by the other, not remedied fifteen days after formal notice. At the end of the contract, the Client may request an export of its content (in JSON or Word format) for thirty days; Suiko then deletes the organisation’s data, except where a legal retention obligation applies.

9. Ownership

The Client remains the owner of its content, its guidelines and its knowledge base, including texts produced or modified with Suiko’s help and approved by the Client. Suiko remains the owner of the software, its methods and its calculation rules. The Client grants Suiko the right to process its content only to the extent necessary for the service.

Suiko does not cite the Client as a reference without its written consent.

10. Confidentiality and data

Each party keeps the other’s non-public information confidential. The processing of personal data (user accounts, notifications) is governed by the attached data processing agreement, which lists the processors and hosting locations (European Union for the database and the application; United States for the artificial intelligence provider, which only receives content texts, never account data).

11. Liability

Suiko’s liability is limited to direct damages and capped at the amount paid by the Client over the last twelve months. Suiko is not liable for content published by the Client, for decisions taken on the basis of the score or the analyses, nor for the unavailability of third-party services (the Client’s CMS, search engines, providers listed in the data processing agreement).

12. Governing law

The contract is governed by Portuguese law; any dispute falls under the jurisdiction of the courts of Lisbon, after an attempt at amicable settlement. The order form may provide for another governing law by mutual agreement.

13. Contact

contact@getsuiko.com. Suiko answers support requests by email, on business days, without a guaranteed response time.
